Comfort Research is a leading manufacturer of some killer consumer products best known for its Big Joe brand of products which can be found in the world’s top retailers, Amazon, Walmart, Frontgate, and Costco just to name a few.  The products Comfort Research makes are in the categories of bean bags, floating pool products, kids chairs, and outdoor seating.

Over the past 10 years Comfort Research has acquired two companies with both of those acquisitions being extremely successful.  During that same time period, the company has a 25% CAGR and over the last 5 years a 41% CAGR.

The Director of Corporate Development will identify, evaluate, and execute transaction opportunities for the different business segments, including mergers & acquisitions, joint ventures, financial investments and other partnership opportunities that are aligned with the overall strategic objectives of the Company.

 

Responsibilities: 

  • Analyze and maintain knowledge of market conditions including industry trends, competitor information, and acquisitions in related industries
  • Perform and supervise qualitative and quantitative analysis of opportunities including financial projects and valuation analysis
  • Draft internal merger and acquisition opportunity documents, including indications of interest, term sheets, Advisory Board proposals/approvals and other related documents
  • Determine necessary legal documents related to merger and acquisition transactions and review legal documents drafted by internal and external counsel
  • Plan, participate in and oversee all aspects of due diligence, documentation, closing activities and integration processes for merger and acquisition transactions
  • Oversee operational initiatives including development of required work plans and utilizing appropriate internal resources to achieve desired outcomes
  • Communicate internally and externally on transaction evaluations and opportunities
  • Develop relationships with intermediaries in order to identify and source acquisitions and partnerships for existing and new geographical markets, and products
  • Develop and implement continuous improvement initiatives on above functions

 

Knowledge, Skills and Experience: 

  • Bachelor’s degree in Business Administration, Finance, Accounting or related field. Master’s degree preferred
  • 6+ years combined experience in business development, mergers and acquisitions, investment banking, valuations, and economic planning
  • Proficiency with the creation and review of complex financial models including “three statement” financial modeling, discounted cash flow analysis, scenario analysis using advanced Excel modeling and a thorough knowledge of advanced corporate finance
  • The ability to interpret legal documentation and an understanding of risk allocation therein
  • Working knowledge of the various financial structures available to execute M&A, joint venture or other investment opportunities
  • Proficiency with Microsoft Office suite of products, especially Excel, Word and PowerPoint
  • Excellent quantitative, analytical and critical thinking skills
  • Ability to effectively communicate complex concepts to a varied audience both verbally and in writing
